1. About these Terms
1.1 These Terms and Conditions (Terms) govern the enrolment and participation of students (you, your) in the Medical Mindfulness continuing professional development courses (Courses) offered by Lisa Hunter Smith, sole trader (ABN 19 010 903 039) (Medical Mindfulness, we, us, our).
1.2 The Courses are hosted, marketed, and sold through the armchairmedical.tv website (the Platform), which is operated by ArmchairMedical Pty Ltd (ArmchairMedical). Three parties are involved in delivering the Platform to you:
(a) ArmchairMedical is the merchant of record for Course fees you pay. Payment is remitted by ArmchairMedical to Medical Mindfulness under a separate commercial arrangement.
(b) Kajabi is the online course platform used by ArmchairMedical. Payment processing and refunds are handled through the Kajabi platform.
(c) Vimeo is the video streaming service used by ArmchairMedical to deliver Course videos. Your use of the video player is subject to Vimeo’s Terms of Service, which are currently accessible via the “Terms” link on the armchairmedical.tv website (and directly at https://vimeo.com/terms). ArmchairMedical does not currently publish its own separate terms of service.
1.3 These Terms describe the arrangement between you and Medical Mindfulness for the delivery of the Course, and for any related matters including the GPMHSC training subsidy described in clause 6 and refunds under clause 8. Nothing in these Terms alters your separate relationships with ArmchairMedical or Vimeo. If ArmchairMedical publishes its own terms of service in future, these Terms will be updated to reference them.
1.4 By enrolling in a Course, you confirm that you have read, understood, and agree to these Terms.
The three-party structure in clause 1.2 has been described from client-provided information.

2. Definitions
In these Terms, unless the context requires otherwise:
• ACL means the Australian Consumer Law as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth).
• ArmchairMedical means ArmchairMedical Pty Ltd, the current merchant of record for Course sales.
• Course means an online continuing professional development course offered by Medical Mindfulness, currently including Medical Mindfulness 101 and Medical Mindfulness 202.
• CPD means Continuing Professional Development.
• GPMHSC means the General Practice Mental Health Standards Collaboration.
• National Law means the Health Practitioner Regulation National Law as in force in each State and Territory of Australia.
• Statement of Completion means the document issued to a student on satisfactory completion of a Course, used to evidence CPD hours.
• Subsidy means the GPMHSC training subsidy described in clause 6.

3. The Courses
3.1 Medical Mindfulness offers online CPD Courses for general practitioners and other health professionals practising in Australia. The Courses currently offered are:
(a) Medical Mindfulness 101 - an introduction to mindfulness for medical practitioners; and
(b) Medical Mindfulness 202: Mindfulness-Based Focussed Psychological Strategies for General Practice - a Level 2 FPS Skills Training accredited by GPMHSC.
3.2 Courses are delivered online through the armchairmedical.tv platform. You may complete the interactive modules and any practical assessments from any location with a suitable internet connection.
3.3 The detailed inclusions of each Course, its accreditation details, its learning outcomes, and the CPD hours claimable are set out on the applicable Course landing page at the time of enrolment. Those details form part of these Terms.

4. Payment and Tax Invoices
4.1 Course fees are as advertised on the applicable Course landing page at the time of enrolment. Fees are in Australian Dollars (AUD) and, where GST applies, are inclusive of GST.
4.2 Payment is collected by ArmchairMedical (as the current merchant of record) through the Kajabi course platform used by ArmchairMedical. Following successful payment, ArmchairMedical will issue a tax invoice to you. That tax invoice constitutes your formal invoice for the Course.
4.3 The merchant of record arrangement may change in the future. If it changes, Medical Mindfulness will notify existing students in writing and will update these Terms.

5. Enrolment and Access
5.1 To enrol in a Course, you must:
(a) be at least 18 years old;
(b) provide accurate registration information; and
(c) pay the applicable Course fee.
5.2 Enrolments are personal to you. You must not share your account credentials or Course access with any other person. Each paid enrolment entitles one individual to access the Course.
5.3 Access to a Course is provided for the period stated on the applicable Course landing page at the time of enrolment.

6. GPMHSC Training Subsidy
⚠ IMPORTANT: Please read this clause carefully.

This clause describes the GPMHSC training subsidy referenced in the Course marketing materials. Your eligibility for the Subsidy is determined by GPMHSC, not by Medical Mindfulness. Medical Mindfulness does not guarantee that you will receive the Subsidy.
6.1 What the Subsidy is. For eligible general practitioners practising in Australia, GPMHSC offers a one-off $800 training subsidy on completion of a GPMHSC-accredited Level 2 FPS Skills Training course. Medical Mindfulness 202 is such a course as at the date of these Terms.
6.2 Administered by GPMHSC. The Subsidy is administered and paid directly by GPMHSC to eligible general practitioners. Medical Mindfulness is not the administrator of the Subsidy and does not receive, pay, or fund the Subsidy.
6.3 GPMHSC’s eligibility criteria. Eligibility for the Subsidy is determined solely by GPMHSC in accordance with GPMHSC’s published criteria, which currently include (without limitation) that you:
(a) have paid the Course fees upfront and received a formal tax invoice;
(b) have satisfactorily completed all online modules and peer-learning requirements of the GPMHSC-accredited training;
(c) are registered as an FPS provider with Services Australia (Medicare);
(d) have never previously completed an FPS ST course or received a GPMHSC training subsidy (this is a strict, lifetime one-off subsidy limit per GP); and
(e) have not received any other government grants, scholarships, or sponsorships for the same training.
6.4 Subject to funding. The Subsidy is subject to funding availability from GPMHSC at the time your individual claim is finalised. GPMHSC’s funding allocations are capped each year and distributed on a first-come, first-served basis. Medical Mindfulness does not guarantee that you will receive the Subsidy.
6.5 Tax invoice issued by Merchant of Record. The tax invoice you receive for a Course is currently issued by ArmchairMedical as merchant of record. GPMHSC has previously accepted tax invoices issued by ArmchairMedical for CPD training subsidy claims. Medical Mindfulness will notify enrolled students in writing if this invoicing arrangement changes and, so far as reasonably practicable, will assist affected students to submit substitute documentation to GPMHSC. However, Medical Mindfulness cannot guarantee that GPMHSC will accept any particular form of invoice, and eligibility for the Subsidy remains at GPMHSC’s discretion.
6.6 Refunds and the Subsidy are separate. Any refund you may be entitled to under clause 8 (or otherwise) is entirely separate from your eligibility for, or receipt of, the Subsidy. Refunds are calculated on the Course fees you paid and are not adjusted, reduced, or offset by reference to the Subsidy.

7. Accreditation and CPD Hours
7.1 The Courses are accredited by various Australian professional colleges and CPD Homes for continuing professional development hours as at the date stated on the applicable Course landing page. Currently this may include (subject to and as detailed on the applicable landing page):
(a) the Royal Australian College of General Practitioners (RACGP);
(b) the Australian College of Rural and Remote Medicine (ACRRM);
(c) MyCPD Home; and
(d) the General Practice Mental Health Standards Collaboration (GPMHSC).
7.2 Accreditation is subject to continuing approval by each accrediting body and may change without notice. The CPD hours claimable for a Course, and the categories under which those hours are claimable, are set out on the applicable Course landing page at the time of enrolment.
7.3 It is your responsibility to check that a Course meets your professional CPD requirements before enrolling. Medical Mindfulness makes no representation or warranty that any Course will satisfy your specific CPD or registration requirements.
7.4 Statements of Completion evidencing CPD hours will be issued on satisfactory completion of the Course requirements as specified for that Course.

8. Refunds and Cancellations
8.1 14-day refund window. You may request a refund of the Course fees you paid within 14 days of your enrolment, provided you have not:
(a) completed more than 20% of the Course modules; or
(b) been issued a Statement of Completion, CPD certificate, or GPMHSC completion documentation for the Course,
whichever occurs first.
8.2 How to request.
8.3 Processing. Approved refunds are processed through the Kajabi course platform, initiated by either Medical Mindfulness or ArmchairMedical, within 10 business days of approval. Refunds are made to the original payment method.
8.4 After the refund window. After the 14-day refund window has closed, or if you have completed more than 20% of the Course modules, or if you have been issued a Statement of Completion or CPD certificate, refunds are not available except as required by clause 8.5.
8.5 Your rights under Australian Consumer Law. Nothing in these Terms limits, restricts, or modifies any right or remedy that you have under the ACL, including the consumer guarantees in Part 3-2 of the ACL. In particular, if the Course fails to meet a consumer guarantee, you may be entitled to a refund, replacement, or compensation in accordance with the ACL. The rights described in this clause 8.5 cannot be excluded, restricted, or modified by these Terms.

9. Course Materials and Intellectual Property
9.1 All Course materials, including but not limited to video recordings, audio recordings, written content, slide presentations, workbooks, assessment questions, and peer-learning materials (Course Materials), are the intellectual property of Medical Mindfulness or its licensors. All rights are reserved.
9.2 On enrolment, Medical Mindfulness grants you a limited, personal, non-transferable, non-exclusive licence to access and use the Course Materials for the sole purpose of your own participation in the Course.
9.3 You must not:
(a) copy, download (except where a download function is expressly provided), reproduce, distribute, publish, or make available the Course Materials to any other person;
(b) share your login credentials with any other person;
(c) record any part of the Course, including any peer-learning sessions; or
(d) use the Course Materials for any commercial purpose or to develop any competing course or training material.
9.4 Nothing in these Terms restricts your right to apply knowledge, skills, and clinical understanding gained through the Course in your own professional practice.

10. Student Conduct
10.1 The Courses may include peer-learning components. In any peer-learning environment, you agree to:
(a) treat other participants with respect;
(b) maintain the confidentiality of case discussions and personal information shared by other participants; and
(c) conduct yourself in accordance with the Medical Board of Australia’s Code of Conduct for doctors in Australia (or the equivalent code of professional conduct applicable to your profession).
10.2 Medical Mindfulness may suspend or terminate your access to a Course, without refund, for serious or repeated breaches of clause 10.1.

11. Complaints and Disputes
11.1 If you have a complaint about a Course, please contact Medical Mindfulness at [email protected] in the first instance. We will acknowledge your complaint within 5 business days and aim to respond substantively within 20 business days.
11.2 If your complaint is about payment, invoicing, or the platform (rather than Course content), please contact ArmchairMedical through the contact details on armchairmedical.tv.
11.3 If you are not satisfied with our response to your complaint, you may raise the complaint with:
(a) the accrediting body of the Course (RACGP, ACRRM, MyCPD Home, or GPMHSC, as applicable);
(b) the Australian Health Practitioner Regulation Agency (AHPRA), where the complaint concerns the conduct of a registered health practitioner; or
(c) the ACCC or the applicable State or Territory consumer protection agency, where the complaint concerns your consumer rights.

12. Privacy
12.1 Medical Mindfulness collects, uses, and discloses personal information in accordance with a separate Privacy Policy, which is available at https://www.armchairmedical.tv/mm-privacy-policy-2026.
12.2 Personal information collected during enrolment and Course participation may be shared with:
(a) ArmchairMedical, for the purpose of processing your enrolment and payment; and
(b) accrediting bodies (RACGP, ACRRM, MyCPD Home, and GPMHSC), for the purpose of CPD hour reporting where required.

13. Medical Advice Disclaimer
13.1 The Courses provide continuing professional development education for qualified health professionals.
The Course Materials are educational only and do not constitute clinical advice or a recommendation to apply any specific technique to any specific patient.
13.2 It is your professional responsibility as a registered health practitioner to exercise your own clinical judgment in your practice and to comply with your professional college’s guidelines, the Medical Board of Australia’s Code of Conduct, and the National Law.
13.3 Nothing in the Course Materials should be understood as:
(a) a diagnosis or treatment of any patient;
(b) an endorsement of any particular clinical or therapeutic approach as suitable for any particular patient; or
(c) a substitute for the exercise of your own clinical judgment.

14. Limitation of Liability
14.1 Nothing in these Terms limits, restricts, or modifies any liability of Medical Mindfulness that cannot be limited under the ACL, including the consumer guarantees in Part 3-2 of the ACL.
14.2 Subject to clause 14.1, and to the maximum extent permitted by law:
(a) Medical Mindfulness’s total liability to you in relation to any Course is limited, at Medical Mindfulness’s option, to either (i) re-supplying the Course, or (ii) refunding the Course fees you paid for that Course; and
(b) Medical Mindfulness is not liable for any indirect, consequential, or economic loss, including loss of income, loss of professional opportunity, or loss of CPD hours in the event that a Course’s accreditation is subsequently varied or revoked.

15. Changes to these Terms
15.1 Medical Mindfulness may amend these Terms from time to time. The current version will always be available at https://www.armchairmedical.tv/mm-terms-2026.
15.2 Amendments apply to new enrolments from the date of publication of the amended Terms. Amendments apply to your existing enrolment only if:
(a) you agree in writing; or
(b) the amendment is required by law or by an accrediting body.

16. Governing Law
16.1 These Terms are governed by the laws of the State of Queensland, Australia.
16.2 Each party submits to the exclusive jurisdiction of the courts of Queensland and any courts entitled to hear appeals from those courts.
